Terms of Service

1. Acceptance

These Terms of Service ("Terms") govern your access to and use of trypatch.com (the "Site") operated by Patch Systems, Inc. ("Patch," "we," "us," "our"). By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy.

If you do not agree to these Terms, do not use the Site.

2. Eligibility

You must be at least 18 years old and a resident of the United States to use the Site. By using the Site, you represent that you meet these requirements.

3. The Site Is Informational

The Site provides general information about Patch and the products Patch offers, including Premium Finance, Factoring, Earned Wage Access, the Patch prepaid card, and wage-tied loans. Information on the Site is for general informational purposes only and is not financial, legal, tax, or other professional advice. Patch products are subject to separate agreements, eligibility requirements, and disclosures, which will be provided at the time you apply for or enroll in a product.

Patch does not originate, market, or sell financial products through the Site. Submitting a contact form does not create an application, contract, or other binding obligation.

4. License to Use the Site

Patch grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your personal, non-commercial purposes, subject to these Terms. No other right or license is granted.

5. Acceptable Use

You agree not to:

  • Use the Site in any way that violates applicable law
  • Scrape, crawl, harvest, or otherwise extract data from the Site by automated means without our prior written consent
  • Reverse engineer, decompile, or attempt to derive source code from any part of the Site
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Site or any related systems
  • Upload or transmit any virus, malware, or other harmful code
  • Use the Site to impersonate any person or misrepresent your affiliation with any entity
  • Use any robot, spider, or other automated means to access the Site for any purpose without our written consent
  • Use the Site to send unsolicited communications, advertising, or spam
  • Use the Site in a manner that infringes any intellectual property or other proprietary right of any party

6. User Submissions

If you submit information through a contact form or otherwise communicate with us through the Site, you represent that the information is accurate and that you have the right to provide it. You grant Patch a non-exclusive, royalty-free, worldwide license to use, store, and process the submission for the purpose of responding to it and providing services to you. You are responsible for the content of your submissions.

Do not submit confidential, sensitive, or proprietary information through the contact form. Do not submit information that violates the rights of any third party.

7. Intellectual Property

All content on the Site, including text, graphics, logos, images, audio, video, and software, is the property of Patch or its licensors and is protected by U.S. and international intellectual property laws. The “Patch” name, the Patch logo, and related marks are trademarks of Patch Systems, Inc. You may not use them without our prior written consent.

8. Third-Party Links and Bank Partners

The Site may contain links to or references to third-party websites and services, including those operated by our bank and program partners (such as Sunrise Banks, N.A., Pathward, N.A., Dash Solutions, BeneMoney, Immediate, Dare Capital, and Patch Premium Finance, Inc.). Patch is not responsible for the content, accuracy, or practices of any third-party site. Your use of any third-party site is subject to that site’s terms and policies.

9. Disclaimers

THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PATCH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

PATCH DOES NOT WARRANT THAT THE SITE OR ITS CONTENT WILL BE ACCURATE, RELIABLE, OR COMPLETE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PATCH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, STATUTE, OR OTHERWISE, AND WHETHER OR NOT PATCH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

PATCH’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR IN CONNECTION WITH THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

11. Indemnification

You agree to indemnify, defend, and hold harmless Patch and its officers, directors, employees, agents, affiliates, and licensors from any claim, demand, loss, liability, damage, or expense (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Site; (b) your violation of these Terms; or (c) your violation of any law or the rights of any third party.

12. Termination

Patch may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. On termination, the rights and licenses granted to you under these Terms will end. Sections that by their nature should survive termination will survive, including Sections 7 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), 13 (Governing Law), 14 (Dispute Resolution), and 16 (General).

13. Governing Law

These Terms and any dispute arising out of or related to them or the Site will be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-laws principles. Subject to Section 14, you and Patch consent to the exclusive jurisdiction and venue of the state and federal courts located in Texas for any dispute not subject to arbitration.

14. Dispute Resolution; Arbitration; Class Action Waiver

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.

14.1 Informal Resolution

Before initiating arbitration, you and Patch agree to attempt to resolve the dispute informally by sending written notice describing the dispute to the other party. The party receiving notice will have 60 days to respond. If the dispute is not resolved within those 60 days, either party may initiate arbitration.

14.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Site (other than disputes solely seeking injunctive relief for misuse of intellectual property) will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (or, if those do not apply, its Commercial Arbitration Rules). The arbitration will be conducted in English. The seat of arbitration will be Dallas, Texas, unless you and Patch agree otherwise or the arbitrator determines that another location is appropriate based on the facts. The arbitrator’s award will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AND PATCH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION. Unless both you and Patch agree, an arbitrator may not consolidate more than one person’s claims or otherwise preside over any form of representative or class proceeding.

14.4 30-Day Opt-Out

You may opt out of this arbitration agreement by sending a written notice to Patch at hello@trypatch.com within 30 days of first accepting these Terms. Your notice must include your full name, address, and a clear statement that you wish to opt out of arbitration. If you opt out, all other provisions of these Terms remain in effect.

14.5 Small Claims

Either party may bring an individual claim in small claims court for disputes within the scope of that court’s jurisdiction in lieu of arbitration.

14.6 Survival

This Section 14 will survive termination of these Terms.

15. Changes to the Terms

We may update these Terms from time to time. When we do, we will update the “Last Updated” date. For material changes, we will provide additional notice, such as a banner on the Site or, where we have your contact information and a relationship with you, an email. Your continued use of the Site after changes become effective constitutes acceptance of the updated Terms.

16. General

Entire Agreement. These Terms, together with the Privacy Policy and any other policies referenced in them, constitute the entire agreement between you and Patch regarding the Site.

Severability. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

No Waiver. Patch’s failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

Assignment. You may not assign these Terms without our prior written consent. Patch may assign these Terms at any time.

No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights, except that Patch’s affiliates, officers, directors, employees, and agents are intended third-party beneficiaries of the indemnification and limitation-of-liability provisions.

Notices. Notices to Patch must be sent to hello@trypatch.com. Notices to you may be sent to the email address you provided to us or posted on the Site.
